1. Introduction
These Terms of Service ("Terms") are published by COZ CLUB CONSULTING PRIVATE LIMITED, a company incorporated under the laws of India and having its registered office at Vadodara, Gujarat ("COZ CLUB", "we", "us" or "our"), in connection with COZ COMPASS, our Global Capability Center (GCC) as-a-service offering, and the website available at www.cozcompass.com (the "Website").
These Terms govern your access to and use of the Website, whether as a visitor or as a prospective or existing client, and form a binding agreement between you and COZ COMPASS. Please read these Terms together with our Privacy Policy and, if you have engaged our services, your applicable proposal, statement of work or service agreement.
2. Acceptance of Terms
By accessing or using the Website, submitting an enquiry, or otherwise engaging with COZ COMPASS, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Website.
If you are accessing the Website on behalf of a company, firm or other entity, you confirm that you are authorised to accept these Terms on that entity's behalf, and references to "you" or "your" include that entity.
3. Eligibility
The Website is intended solely for use by individuals who are at least 18 years of age and are engaged in business or professional activities on behalf of an organisation seeking GCC services.
You agree to provide accurate, current and complete information when submitting an enquiry through the Website, including your name, business email, phone number and company name. COZ COMPASS may decline to respond to, or may discontinue engagement with, an enquiry where information provided is found to be false, misleading or incomplete.
4. Use of the Website
You agree to use the Website only for lawful purposes connected with evaluating and engaging COZ COMPASS's GCC services, and in accordance with these Terms.
You agree not to:
- upload or submit any content through the contact form that is unlawful, defamatory, infringing, misleading or that violates the rights of any third party;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use the Website to send unsolicited communications or engage in conduct that is fraudulent or harmful;
- attempt to gain unauthorised access to the Website, or any account, system or network connected to it; or
- copy, scrape, reverse engineer or interfere with the proper functioning of the Website.
COZ COMPASS may restrict or terminate your access to the Website where your use is inconsistent with these Terms.
5. Enquiry Content
You are responsible for the accuracy and lawfulness of any information you submit through the contact form, including your enquiry message. By submitting an enquiry, you grant COZ COMPASS the right to use that information solely to respond to you and process your request, as described in our Privacy Policy.
You confirm that any content you submit does not infringe the intellectual property or other rights of any third party. COZ COMPASS may decline to act on any submission it considers, in its reasonable discretion, to be inaccurate, unlawful or inconsistent with these Terms.
6. Intellectual Property
The Website, including its design, layout, text, graphics, logos and the COZ COMPASS name and marks, is owned by or licensed to COZ CLUB and is protected under applicable intellectual property law. Nothing in these Terms transfers any ownership of such intellectual property to you.
You may not use the COZ COMPASS name, logo or marks without our prior written consent.
7. GCC Engagements
COZ COMPASS provides Global Capability Center services across the functions described on the Website. Any engagement, including its scope, deliverables, timelines and pricing, is governed by a separate proposal, statement of work or service agreement executed between you and COZ COMPASS, and these Terms apply to the Website only, without limiting the terms of any such agreement.
Submitting an enquiry or having an initial consultation does not, by itself, create any obligation on either party to proceed with an engagement.
8. Fees and Payments
Fees for any GCC engagement are as set out in the applicable proposal, statement of work or service agreement, and are payable in accordance with its terms. These Terms do not themselves impose any payment obligation; no fees are charged for using the Website or submitting an enquiry.
9. Disclaimers
The Website is provided on an "as is" and "as available" basis. COZ COMPASS does not warrant that the Website will be uninterrupted, error free or free of harmful components, and disclaims all warranties, express or implied, to the extent permitted under applicable law.
Any reliance you place on information published on the Website, absent a signed engagement agreement, is at your own discretion and risk.
10. Limitation of Liability
To the maximum extent permitted under applicable law, COZ COMPASS shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of business, revenue or goodwill, arising out of or in connection with your use of the Website.
Nothing in these Terms is intended to limit liability that cannot be excluded or limited under applicable Indian law, and nothing in this Section limits liability under a signed engagement agreement, which is governed by its own terms.
11. Indemnification
You agree to indemnify and hold COZ COMPASS, its affiliates, directors, employees and authorised representatives harmless from any claim, loss, liability or expense (including reasonable legal costs) arising out of your breach of these Terms, your misuse of the Website, or your violation of any applicable law or the rights of any third party.
12. Termination
COZ COMPASS may restrict or terminate your access to the Website, with or without notice, where you breach these Terms, or where we reasonably believe such action is necessary to protect COZ COMPASS or the public.
Provisions of these Terms that by their nature should survive termination of your access will continue to apply.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Subject to any applicable engagement agreement, any dispute arising out of or in connection with these Terms shall first be referred to good faith discussion between the parties, and failing resolution, shall be subject to the exclusive jurisdiction of the courts at Vadodara, Gujarat.
14. Changes to these Terms
We may update these Terms from time to time to reflect changes in law, our practices, or our services. The updated Terms will be published on the Website with a revised "Last Updated" date, and where the changes are material, we will notify you by email where we have your contact details. Your continued use of the Website after an update takes effect will signify your acceptance of the updated Terms.
